General Terms and Conditions – Three BV

These general terms and conditions apply to all assignments carried out by Three BV, with its registered office at Brusselstraat 211 box 102, 1702 Groot-Bijgaarden, Belgium (hereinafter referred to as “Three BV”), unless otherwise agreed in writing.

1. Scope of Services

Three BV offers the following services:

1.1  Recruitment and Selection

Three BV provides recruitment and selection with the aim of facilitating either permanent employment or a service agreement between the proposed candidate and the client.

1.2 Assessments
At the client’s request, Three BV conducts assessments with candidates who were either proposed by Three BV or introduced by the client. These assessments aim to objectively assess competencies and suitability for a specific position or context.

1.3  HR Advice and Coaching
Three BV provides advice in the field of human resources and offers coaching to both clients and candidates for development, support, or guidance in a professional context.

2. Applicability and Acceptance of the Terms

These terms and conditions form an integral part of the agreement between Three BV and the client. They apply exclusively to all quotations, proposals, assignments, and agreements, except in cases where a written deviation has been explicitly agreed upon by both parties.

3. Specific clauses for Recruitment and Selection Activities

3.1 In the context of recruitment and selection, an agreement is deemed to have  been concluded and these terms and conditions are considered accepted as soon as Three BV proposes a candidate to the client, regardless of the method of delivery (email, digital platform, etc.).
3.2 Fees and Invoicing
The client shall pay the fee as stated in Article 2 of the Service Agreement or quotation. All prices are exclusive of VAT or equivalent taxes, unless otherwise stated.
3.3 Hiring within 12 Months
If a candidate proposed by Three BV is hired or engaged by the client within 12 months after the initial presentation (regardless of the type of contract—permanent, temporary, freelance, or via third parties), the client is liable for the full agreed fee.
3.4 Indirect Hiring via Third Parties
If the client refers a proposed candidate to a third party and the candidate is employed or engaged there within 12 months, the client is likewise liable to pay the agreed fee.
3.5 Multiple Hires
If the client hires multiple candidates from the same recruitment assignment beyond the initially agreed count, the agreed fee is due for each additional hire under the same conditions.
3.6 Client’s Duty to Inform
The client undertakes to notify Three BV in writing within 8 calendar days after concluding an agreement with the candidate of:
· the hiring or collaboration;
· the nature of the employment;
· the agreed employment terms (type of contract, start date, etc.).
3.7 Travel Costs
Any travel or transport costs for candidates (e.g. for interviews) are borne by the client, if previously agreed.
3.8 Work Permit and Legal Compliance
The client is responsible for ensuring that the candidate has all necessary permits and complies with applicable labor and immigration legislation. Any costs or obligations for obtaining a work permit or equivalent authorization are solely borne by the client.
3.9 Quality and Guarantees
Three BV commits to using reasonable efforts in selecting and presenting competent candidates, but offers no guarantee regarding the candidate’s suitability, performance, or continued employability.
3.10 Liability
Three BV shall not be liable for any damage, loss, costs, or claims arising from the hiring, performance, or behavior of proposed candidates, except in cases of intent or gross negligence on the part of Three BV.

4. Specific Provisions for Assessments and HR Advice/Coaching

4.1 For assignments involving assessments or HR advice/coaching a service Agreement or quotation is provided beforehand, with a clear description of the assignment, fee, timing, and mutual expectations. All prices are exclusive of VAT or equivalent taxes, unless otherwise stated.
4.2 Unless otherwise agreed, these services are charged based on hourly rates or a fixed amount, as specified in the Service Agreement or quotation.
4.3 The client agrees to provide all necessary information in a timely and accurate manner to enable quality execution of the assignment.
4.4 Three BV will carry out these services with due care and expertise, under a best efforts obligation
4.5 All advice, reports, or evaluations resulting from these services are confidential and intended only for internal use by the client, unless expressly otherwise agreed.

6. Best efforts obligation

Three BV undertakes an best efforts obligation, not an obligation of result.

7. Invoicing and Payment Terms

· Invoices are payable immediately upon receipt.
· Invoices are deemed accepted if not disputed in writing (by registered letter) within 8 days of receipt, stating reasons.
· In case of late payment, the client is automatically liable, without formal notice of default, to pay interest at a rate of 12% per annum, plus a fixed compensation of 10% of the invoice amount (minimum €150) to cover collection costs (excluding legal fees).

8. General Liability

Three BV undertakes to provide its services with due diligence and professionalism. Except in cases of intent or gross negligence, Three BV shall not be liable for any direct or indirect damage, loss of profits, loss of data, reputational damage, or consequential damage arising from its services.
In any such case, liability is limited to the amount actually paid for the relevant assignment.
Complaints must be submitted in writing and with justification within 14 days of the event, under penalty of forfeiture.

9. Data Protection

Both parties acknowledge they act as separate data controllers in processing personal data.
Each party agrees to comply with:
· the General Data Protection Regulation (GDPR – Regulation EU 2016/679),
· applicable national data protection laws,
· the ePrivacy Regulation (if applicable).
Personal data may only be processed in connection with the services and not for other purposes without explicit consent. Both parties will implement appropriate technical and organisational measures to secure personal data.

10. Confidentiality

All information exchanged between the parties—including candidate data, business information, contracts, quotations, and strategies—is confidential and must not be disclosed to third parties without written consent, except as required by law.

11. Intellectual Property

All documents, advice, reports, and methodologies developed or provided by Three BV during its services remain its intellectual property unless otherwise agreed in writing. The client is granted only a non-exclusive, non-transferable license for internal use.

12. Force Majeure

Three BV is not liable for failure to perform the agreement due to force majeure, including but not limited to pandemics, war, strikes, government actions, technical failures, or internet/network issues.

13. Non-Solicitation of Personnel

The client agrees not to directly or indirectly hire or engage any employees or independent contractors of Three BV without prior written consent, for a period of 12 months after the end of cooperation. In case of breach, the client owes a fixed compensation of €15,000, without prejudice to proof of higher damage.

14. Applicable Law and Competent Court

These terms are governed by Belgian law. All disputes are subject to the exclusive jurisdiction of the courts in the district of Brussels.

15. Final Provisions

If any provision of these general terms is found invalid or unenforceable, the remaining provisions remain in full force. The invalid provision will be replaced by a valid one that most closely reflects the original intention.
